Terms of Use

A small product with clear responsibilities.

These terms explain how to use NexHello, how subscriptions work, what stays your responsibility and what the product cannot promise.

1. Agreement and provider

These Terms of Use are an agreement between you and Naonis Pty Ltd (ABN 87 666 938 496), for the NexHello app, website and related support. By using or purchasing the product, you agree to these terms and the Privacy Policy.

If you use NexHello for a business or organisation, you confirm that you can accept these terms for it. If you do not agree, do not use the product.

2. The product

NexHello is a local-first post-meeting contact and follow-up app. It helps you capture contact details, keep context, choose next actions, record outcomes, schedule local reminders and send selected information to external tools.

It is not a full CRM, a guaranteed backup service, professional advice, or a promise that a reminder, message, meeting, webhook or commercial result will happen.

You must be legally able to enter this agreement. If local law requires a parent or guardian to approve your use or purchase, that approval is required.

3. Subscriptions and app stores

NexHello is a paid product. The relevant app store may offer a trial. The store purchase screen controls the current price, currency, tax, billing period, trial, renewal and cancellation terms.

Subscriptions are billed and managed by Apple or Google. Deleting the app does not cancel a subscription. Refunds and billing disputes are handled under the applicable store rules and rights provided by law.

Temporary tester, promotional, development or support access may end and does not create a permanent entitlement.

4. Your data and your responsibility

You remain responsible for the information you enter, including having any permission or lawful basis needed to collect, store, use or share another person's details. Nothing in these terms transfers ownership of your records to Naonis.

Your contact and follow-up records are stored on your device. Naonis does not automatically back up or synchronise them to the cloud. You are responsible for device access, backups and exports. Losing, clearing or uninstalling the app may permanently lose records that exist only on the device.

Backups, CSV exports and webhooks are user-controlled. A backup or export is only protected if you keep it somewhere recoverable. A webhook or other handoff protects only what the destination successfully receives and retains. You are responsible for any destination, credentials, permissions and privacy obligations connected to a webhook.

5. Acceptable use

You must not use NexHello to break the law, harass or deceive people, send unwanted mass communication, misuse another person's information, bypass access controls, attack or overload a service, introduce malicious code, or copy, resell or commercially exploit the software except where law or a separate written agreement permits.

Nothing in these terms restricts a right that cannot lawfully be restricted.

6. Availability and changes

The app depends on your device, operating system, permissions, local storage, app store, notification system and any external service you choose. These dependencies may change or fail. OCR can misread a card, notifications can be late or unavailable, and an external handoff can fail.

We do not promise uninterrupted or error-free operation. Review important contact details, actions, dates and exports. We may change, suspend or discontinue features or platform support where reasonably necessary for security, compatibility, legal compliance or product operations. Where reasonably practical, we will give reasonable notice before a material adverse change, suspension or discontinuation.

7. Rights and liability

Naonis and its licensors own the NexHello software, design, branding and documentation. We give you a limited, non-exclusive, non-transferable licence to use it for lawful personal or internal business purposes while you have access, subject to section 8.

Nothing in these terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded or limited, including rights under the Australian Consumer Law.

Subject to those rights and to the maximum extent permitted by law, NexHello is provided “as is” and “as available”. We are not responsible to the extent that loss is caused by your device, local storage, lack of backup, your content, an external app, an app store, a webhook destination, a network or another provider.

To the maximum extent permitted by law, Naonis is not liable for indirect or consequential loss, lost profits, revenue, opportunity, goodwill, business interruption or loss of data. This includes data that exists only on your device and is lost because you lose access to, clear, replace or uninstall the device or app.

To the maximum extent permitted by law, our total liability for all claims connected with NexHello is limited to the subscription fees paid for NexHello through the applicable app store in the 12 months before the event giving rise to the claim. If no subscription fees were paid, no amount is payable except where the law requires otherwise.

8. Ending use

You may stop using the app at any time. Cancel subscriptions separately through Apple or Google. Before clearing or uninstalling the app, create a usable backup or confirm that important records reached a destination you control.

We may suspend or end access where reasonably necessary because of serious misuse, a security risk, non-payment, a store requirement or product discontinuation. Where practical and lawful, we will give notice of a remediable issue.

9. Law, changes and contact

These terms are governed by the laws in force in New South Wales, Australia. Subject to any mandatory right to bring proceedings elsewhere, you and Naonis submit to the exclusive jurisdiction of the courts of New South Wales and the courts entitled to hear appeals from them. This does not remove mandatory consumer protection that applies where you live.

We may update these terms when the product, providers, law or operations change. We will publish the revised date here, apply changes prospectively and, where reasonably practical, give reasonable notice of a material adverse change.

You may not transfer these terms or your licence to another person. We may assign or transfer these terms and the related rights and obligations as part of a genuine reorganisation, merger, or sale of NexHello or relevant business assets, provided that the recipient assumes the relevant obligations. Where reasonably practical, we will give notice of the transfer.

If any provision of these terms is held by a court or other competent authority to be invalid, illegal or unenforceable in whole or in part, that provision will be read down to the minimum extent necessary to make it valid and enforceable. If it cannot be read down, the provision will be severed to the extent necessary, without affecting the validity or enforceability of the remaining provisions. The provision's invalidity, illegality or unenforceability in one jurisdiction will not affect its validity or enforceability in any other jurisdiction, unless the law requires otherwise. Each provision operates independently to the extent permitted by law.
